The legal foundation
Contracts in the UAE are governed by the Civil Transactions Law. A contract forms on the meeting of offer and acceptance, and — once formed — must be performed in good faith. Under the law now in force, the duty of good faith has been extended to the pre-contractual stage, so conduct during negotiation itself now carries legal weight.
Federal Decree-Law No. 25 of 2025 issuing the Civil Transactions Law, which replaced Federal Law No. 5 of 1985. The good-faith principle, long established for performance, now expressly reaches pre-contractual negotiations.
This matters in drafting. Terms on governing law, jurisdiction, force majeure and remedies are read against this framework, and a clause that ignores it can fail exactly when it is needed.

Wills & succession
For non-Muslims, UAE-sited assets can pass under Sharia default rules unless a valid, registered will directs otherwise. Registration is what makes the wishes enforceable.
Federal Decree-Law No. 41 of 2022 on Civil Personal Status (in force 1 February 2023) affirms testamentary freedom for non-Muslims. Wills may be registered through the DIFC Courts Wills Service or the Dubai Courts; Dubai Law No. 2 of 2025 provides for direct enforcement of DIFC-registered wills over Dubai assets.
